Harmony AI Terms of Service

Effective Date: January 1st, 2025

1. Acceptance of Terms

By accessing or using the Harmony AI website, software, or services (collectively, the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Platform.

2. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms to use the Platform.

3. Use of the Platform

You may use the Platform only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Platform in any way that violates applicable laws or regulations.

  • Upload or transmit any harmful, offensive, or illegal content.

  • Attempt to gain unauthorized access to the Platform.

4. Trial, Beta, and Evaluation Use Disclaimer

Unless a separate, duly executed agreement is in place, any use of the Harmony AI platform—including but not limited to pilots, beta tests, free trials, or evaluations—is provided "as is", without warranties of any kind, and at the user's sole risk.

Harmony AI assumes no responsibility or liability for any data loss, data leakage, or security incident that may occur during such use. Users are strictly prohibited from uploading, transmitting, or processing any Protected Health Information (PHI) or other regulated, sensitive, or confidential data unless a formal written agreement has been signed with Harmony AI explicitly permitting such use.

By using the platform in any trial or evaluation capacity, you acknowledge and agree that:

  • Harmony AI shall not be liable for any claims, damages, or regulatory violations arising from the use of the platform during such period.

  • You are solely responsible for ensuring compliance with all applicable data privacy and security laws, including HIPAA, during this use.

  • Uploading PHI or real patient data is strongly discouraged and done entirely at your own risk unless an agreement is in place.

5. Intellectual Property

All content, features, and functionality on the Platform are owned by Harmony AI and protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without written permission.

6. Privacy

Your use of the Platform is also governed by our Privacy Policy, which can be accessed at: https://www.askharmony.ai/privacy-policy.

7. Disclaimers

The Platform is provided on an "as-is" and "as-available" basis. Harmony AI disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of Liability

To the maximum extent permitted by law, Harmony AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, whether incurred directly or indirectly.

9. Indemnification

You agree to defend, indemnify, and hold harmless Harmony AI and its affiliates from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your use of the Platform or violation of these Terms.

10. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws rules. You agree to submit to the personal jurisdiction of the courts located in Santa Clara County, California.

11. Changes to Terms

Harmony AI reserves the right to update these Terms at any time. We will notify users of any material changes. Your continued use of the Platform constitutes acceptance of the revised Terms.
